Confidentiality Agreement for Contractors and Service Providers

Below is a template that can be used by Member Company staff to create a confidentiality agreement whenever they provide access to NCASI’s publications and other information resources to third-party service providers. The template is provided as a Microsoft Word™ document and PDF file. Different versions of the template have been developed for Canadian and U.S. Member Companies, reflecting slightly different laws in those countries.

Member Companies provide funding to NCASI to develop information that is published in NCASI Technical Bulletins, Special Reports, workshop proceedings, Corporate Correspondent Memos, Handbooks, and other publications, and is also available to Member Company employees on this website. To protect this investment, it makes sense for Member Companies to limit the further use or disclosure of NCASI information resources whenever they are shared with a consultant, contractor, or other service provider working for a Member Company. Absent limits imposed by the Member Company when the information is disclosed, consulting firms and others may consider these resources to be a part of their internal information base, and feel free to use the information to benefit non-member companies and others who have not provided support for these resources through membership dues.

Member Company staff are encouraged by the Operating/Steering Committees to use this template to establish an agreement that limits the further use of NCASI’s publications by consultants and other service providers, and to monitor compliance with that agreement. To create the agreement, simply download the appropriate file, enter the name of your Member Company, the name of the service provider and other information as appropriate to the situation, and have the agreement signed by authorized parties. The agreement, when executed, establishes a binding commitment by the recipient not to disclose NCASI publications and other information to any third party, nor to use the information in such resource materials for the benefit of any entity except the Member Company making the disclosure. The templates have been vetted by NCASI’s legal counsel and the corporate counsel of several of NCASI’s larger members.

It is not necessary to execute an agreement with service providers who are NCASI Sustaining Member Companies, since those companies have already signed a global agreement limiting their use of NCASI resources.
